1. Acceptance of Terms

By accessing or using BI Linker ("Service", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and BI Linker.

2. Description of Service

BI Linker provides an automated data integration service that connects WooCommerce stores to Microsoft Power BI. The Service syncs your orders, customers, and product data on a daily basis, making it available in your Power BI workspace for reporting and analysis. BI Linker is a software-as-a-service (SaaS) product accessible via the web.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your organization. By using the Service, you represent and warrant that you meet these requirements.

4. Subscription and Payment

BI Linker offers a Starter plan at $24.99 CAD per month. All prices are in Canadian dollars (CAD) unless otherwise stated.

• Billing cycle: Subscriptions are billed monthly on the date you first subscribed.
• Free trial: New accounts include a 14-day free trial. No credit card is required to start the trial. If you do not cancel before the trial ends, your payment method will be charged the applicable subscription fee.
• Auto-renewal: Subscriptions automatically renew each billing period unless cancelled before the renewal date.
• Taxes: Prices are exclusive of applicable taxes (e.g., GST/HST/QST). Applicable taxes will be added at checkout based on your billing address.
• Payment processing: Payments are securely processed by a third-party payment processor. BI Linker does not store your payment card details.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account dashboard under Settings → Cancel Subscription. Cancellation takes effect at the end of your current billing period; you retain full access to the Service until then.

No partial refunds are issued for unused days or months. Please refer to our full Cancellation Policy for more details.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service without our express written permission.
• Use the Service to process data belonging to third parties without their consent.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

You retain ownership of all data originating from your WooCommerce store. BI Linker accesses your store data solely to perform the integration service and does not sell your data to third parties.

8. Intellectual Property

The Service, including its software, design, branding, and content, is owned by BI Linker and protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted access to the Service. Scheduled or emergency maintenance may cause temporary interruptions. We will endeavour to notify users in advance of planned downtime.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that data syncs will be completely accurate at all times.

11. Limitation of Liability

To the maximum extent permitted by applicable law, BI Linker shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid us in the three (3) months preceding the claim.

12. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
